How a conversation works

The aim is to test quickly what can be tested in the market, and to agree rights and structures only after diligence.

  1. Initial alignmentWhether there is a plausible reason to engage, and in what role. Interests, market access, conflicts. The result is either agreement to continue in confidence, or a prompt decision not to.
  2. Confidential commercial and technical discussionEnough detail to decide whether formal diligence, a controlled beta, a pilot, a distribution discussion or an investment process is warranted. Shared through the private room.
  3. Structured diligence: checking the factsCorporate and ownership, product and technology, commercial model, market, finance, assurance and legal, and the time-attestation authority option, tested without exposing more than is needed.
  4. Commercial architecture and termsPurpose and rights of MIO, any investment and its instrument, related-party pricing between MDSL and MIO, the distributor framework, and how a participant holding several roles is treated. Non-binding heads of terms, subject to advice.
  5. Closing and launchFormation, agreements, controls, and first payment of funds against an agreed use, if it reaches that point.

Roles that may be explored

None is assumed and none is bundled: early customer or participant in a controlled beta by arrangement; technical, governance or product adviser; distributor for a defined market; strategic introducer; possible participant in a commercialisation round, if one is ever held; later participant in a separately assessed New Zealand time-attestation initiative.

Nothing here is a binding offer, an invitation to the public to invest, a valuation, a term sheet, a grant of exclusivity or a commitment to appoint a distributor. Any commitment is subject to diligence, agreed terms, professional advice, approvals and signed documents.
